1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website quantyralabs.com and our trade portal contact.quantyralabs.com (together, the "Sites"), operated by Quantyra Labs ("Quantyra Labs", "we", "us", or "our"), a makhana (fox nut) exporter based in Bihar, India.

By accessing or using our Sites, submitting an enquiry, requesting samples, or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Sites or submit any enquiry to us.

2. About Quantyra Labs

Quantyra Labs is an APEDA-registered exporter of GI-tagged Mithila Makhana (Euryale ferox / fox nuts), sourced from farmer clusters in the Mithila wetlands of Bihar, India. Our products are FSSAI certified and produced under ISO-compliant quality systems. We supply bulk makhana and flavoured makhana products to wholesale buyers, distributors, and importers globally.

Nothing on our Sites constitutes an offer capable of acceptance under contract law. Any contract for the sale of goods is formed only upon our written confirmation of a specific order, as described in Section 5.

3. Use of the Site

You agree to use our Sites only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Sites by any third party. Prohibited activities include, without limitation:

• Attempting to gain unauthorised access to any part of the Sites, servers, or networks connected to the Sites
• Using any automated system (such as scrapers or bots) to access the Sites in a manner that sends more requests than a human could reasonably produce
• Submitting false, misleading, or fraudulent information in any enquiry, sample request, or order
• Using the Sites to transmit any harmful code, viruses, or malicious software

4. Product Information & Pricing

We make reasonable efforts to ensure that product descriptions, grades (such as 4 Suta, 5 Suta, 6 Suta, and flavoured varieties), images, and specifications shown on our Sites are accurate. However:

• Product appearance, size, and grading may vary slightly due to the natural nature of makhana and seasonal harvest variation.
• Pricing shown or quoted (including FOB/CIF estimates) is indicative only, subject to confirmation, and may vary based on quantity, packaging, destination, prevailing market rates, and currency fluctuations at the time of order.
• We reserve the right to correct any errors, inaccuracies, or omissions in product information or pricing at any time without prior notice.

5. Enquiries, Samples & Orders

Submitting an enquiry, sample request, or quotation request through our Sites, WhatsApp, or trade portal does not constitute a binding order. All orders are subject to:

1. Written confirmation from Quantyra Labs, including agreed product specifications, grade, quantity, packaging, pricing, and Incoterms (e.g. FOB, CIF).
2. A separate sales contract, proforma invoice, or purchase agreement signed or confirmed by both parties.
3. Applicable advance payment, letter of credit, or other payment terms agreed between the parties prior to production or shipment.
4. Sample requests may be subject to courier charges, minimum quantities, or other conditions communicated at the time of request.

Any terms in a buyer's purchase order that conflict with these Terms or our confirmed proforma invoice will not apply unless expressly agreed in writing by Quantyra Labs.

6. Shipping, Export & Compliance

As an exporter operating from India, all shipments are subject to applicable Indian export regulations, customs procedures, and the documentation requirements of APEDA, FSSAI, and other relevant authorities, as well as the import regulations of the destination country.

Buyers are responsible for ensuring that the import of makhana and related products complies with the laws, food safety standards, labelling requirements, and customs regulations of their own country. Quantyra Labs will provide standard export documentation (such as certificates of origin, phytosanitary certificates where applicable, and GI tag certification) as agreed for each order, but is not responsible for a buyer's failure to obtain necessary import permits or licences in their jurisdiction.

Delivery timelines provided are estimates only. Quantyra Labs is not liable for delays caused by shipping lines, customs authorities, port congestion, force majeure events, or other circumstances beyond our reasonable control.

7. Intellectual Property

All content on our Sites — including text, graphics, logos, product photography, the Quantyra Labs name and branding, and the layout and design of the Sites — is the property of Quantyra Labs or our licensors and is protected by applicable intellectual property laws.

You may view, download, and print content from our Sites for your own personal or internal business use in evaluating our products, provided you do not modify the content and you retain all copyright and other proprietary notices. You may not reproduce, republish, distribute, or create derivative works from our content for commercial purposes without our prior written consent.

The Geographical Indication (GI) tag referenced in relation to Mithila Makhana is a certification mark governed by applicable GI registration authorities and is used by Quantyra Labs in accordance with its registered status for qualifying products.

8. Third-Party Links & Services

Our Sites may include links to third-party websites and services, including our trade portal (contact.quantyralabs.com), WhatsApp Business, and social media platforms. These third-party services are governed by their own terms and privacy policies. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party site or service.

9. Disclaimers

Our Sites and the information on them are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Quantyra Labs makes no warranties, express or implied, regarding:

• The accuracy, completeness, or currency of information, pricing, or product specifications displayed on the Sites
• That the Sites will be uninterrupted, secure, or error-free
• Any nutritional, health, or wellness claims made on the Sites, which are provided for general informational purposes and are not intended as medical advice

Any nutritional or wellness information published in our blog or brochure is intended for general informational purposes only and should not be relied upon as a substitute for professional medical, nutritional, or regulatory advice in your jurisdiction.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Quantyra Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Sites or any products supplied, except where such liability cannot be excluded under applicable law.

Where a binding sales contract is entered into for the supply of goods, liability in connection with that specific contract will be governed by the terms agreed in that contract (including any agreed Incoterms, warranty, and remedy provisions), and this Section 10 does not limit liability under such a separately agreed contract beyond what is permitted by applicable law.

11. Indemnification

You agree to indemnify and hold harmless Quantyra Labs, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Sites, or your violation of any applicable law or third-party right, including any failure to comply with import regulations in your jurisdiction.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to any separately agreed dispute resolution clause in a binding sales contract (such as an arbitration clause for international trade disputes), any disputes arising out of or relating to these Terms or your use of the Sites shall be subject to the exclusive jurisdiction of the courts of Bihar, India.

For international sales contracts, the parties may separately agree to alternative dispute resolution mechanisms (such as arbitration under ICC or other applicable rules), which will take precedence over this section for matters relating to that specific contract.

13. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our business practices, products, or legal and regulatory requirements. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of the Sites after any changes constitutes your acceptance of the revised Terms. Terms applicable to a specific confirmed order are those in effect, or separately agreed, at the time that order was confirmed.
